Reports To: Senior Vice President, Legal & Compliance Job Summary

Provide strategic legal and compliance support across the Group. Advise on commercial transactions, regulatory compliance, corporate governance, energy-sector matters, and digital technology initiatives to protect enterprise value and enable business growth.

Key Responsibilities

Commercial & Corporate Transactions:Lead negotiation and execution of complex agreements including M&A, JV, project finance, divestments, and shareholder matters Energy & Infrastructure Advisory: Provide legal support on oil & gas, power, mining and infrastructure projects. Draft and negotiate agreements such as Hydrocarbon Sale, EPC, Technical Service, and Supply Agreements. Regulatory Compliance & Governance: Monitor laws and regulations, ensure 100% compliance, and support governance frameworks and internal controls. Digital & IP Advisory: Advise on technology transactions, software licensing, data protection, AI, cybersecurity and IP protection. Dispute Resolution: Manage litigation, arbitration and coordinate external counsel Stakeholder Management: Represent Legal & Compliance in regulatory engagements and build relationships with government bodies, external counsel and vendors.

Qualifications & Experience

LL.B Degree. Master’s or PGD is an advantage Minimum of 15 years post-call experience Extensive experience in Energy Law: Oil & Gas, Power, Mining, and Digital Technology Strong knowledge of corporate transactions, M&A, JV, regulatory and compliance frameworks

Strategic legal advisory and commercial focus Contract negotiation and drafting Energy, infrastructure and digital technology expertise Regulatory and compliance knowledge Strong analytical, communication and stakeholder engagement skills Proficiency in Microsoft Office.
